A company can apply for voluntary strike off of name from register of companies when it has failed to commence business within one year of its incorporation or the company is not carrying on any business for a period of last 2 F.Y. and has not made an application to get status of dormant company. Application for strike off is made in Form STK-2 with fee along with the following documents- Indemnity Bond duly notarized by every director in Form STK-3, statement of accounts made up to day not more than 30 days before the date of application and certified by a CA, an affidavit in Form STK-4 by every director, copy of last ITR filed and bank statement of the company.
The company needs to pass special resolution regarding the same which is to be filed in Form MGT-14 within 30 days of passing to ROC along the prescribed documents and fee.
